The Difference You Make:
The CIB Business Management, Vice President serves as the business, governance, and process management lead for the Leveraged Finance Committee process, supporting senior executives, committee members, and banking teams through rigorous analysis, disciplined execution, and high-quality executive briefings. The incumbent conducts complex analyses and reporting in support of credit, risk, and governance decision-making, while ensuring committee materials, approvals, and follow-up actions are managed with precision, efficiency, and consistency.
This role is expected to operate as a strategic partner and resource to the banking team, helping deal teams navigate committee requirements efficiently and effectively rather than serving as a procedural barrier. The incumbent works proactively with deal teams and key stakeholders to ensure materials are complete, reconciled, and decision-ready, with the goal of facilitating timely review and approvals while maintaining appropriate governance standards.
The role also requires a continuous improvement mindset. In addition to managing the committee process, the incumbent is responsible for identifying opportunities to enhance the effectiveness, transparency, and efficiency of the process, and for equipping senior leaders with relevant reporting, insights, and recommendations so they are well positioned to advocate for appropriate changes to governance, reporting, and decision-making frameworks.
The incumbent partners closely with front office, risk, legal, finance, and other control and business stakeholders to ensure matters presented to committee are complete, clearly framed, and aligned with governance standards and risk appetite. S/he is often assigned responsibility for initiatives of strategic importance related to committee effectiveness, reporting, operating discipline, and management information.
Responsibilities:
- Coordinates and manages the end-to-end Leveraged Finance Committee process, including agenda setting, materials collection, submission deadlines, meeting preparation, minutes, approvals, conditions tracking, and follow-up items.
- Acts as a trusted resource to banking and deal teams by helping them understand committee expectations, prepare decision-ready materials, and navigate the approval process in a timely and efficient manner.
- Partners closely with deal teams and control partners to ensure materials are complete, internally consistent, appropriately reconciled, and aligned with committee requirements prior to submission.
- Helps facilitate efficient approvals by proactively identifying gaps, resolving issues, and coordinating across stakeholders to improve readiness and reduce avoidable delays.
- Reviews committee materials, transaction decks, term sheets, and related documentation to identify key risk drivers, structural considerations, and areas requiring escalation or clarification.
- Produces concise, executive-ready briefings and summaries that translate technical credit, transaction, and risk issues into clear implications, key questions, and recommendations or required conditions.
- Defines and develops analytical approaches to complex and often non-routine credit, governance, or business issues.
- Determines where reporting, process, or measurement gaps exist and develops new metrics, reporting, and governance tools to improve committee oversight, decision-making, and execution.
- Actively evaluates the effectiveness of the committee process and identifies opportunities to enhance efficiency, transparency, consistency, and overall stakeholder experience.
- Provides senior leaders with relevant analyses, reporting, and management information to support informed decision-making and help advance needed improvements to governance processes, reporting frameworks, and committee operating practices.
- Reviews operational data and management information, analyzes and synthesizes findings, and compiles reports or presentations for senior leadership and committee stakeholders.
- Establishes and maintains a disciplined operating cadence across senior stakeholders, ensuring deadlines, documentation standards, and governance requirements are consistently met.
- Engages effectively across front office, risk, legal, finance, and other internal teams to gather information, challenge incomplete submissions, and ensure quality and readiness of committee packages.
- Consults with management and business partners on matters of significance regarding governance approach, committee effectiveness, support model enhancement, and business performance improvement opportunities.
- Leads special projects and process enhancement initiatives that are strategically important to the function or business unit, particularly those related to governance, reporting, and operating efficiency.
- Acts as a technical and business lead for ad hoc reporting, committee analyses, and governance-related initiatives within the function or business unit.
- Supports data-driven decision-making by senior leaders through thoughtful framing of issues, risk considerations, business implications, and opportunities for process enhancement.
- Navigates the organization effectively to coordinate stakeholders, resolve issues, and complete tasks in a timely and accurate manner.
- Provides guidance to less experienced staff and may lead project work by assigning responsibilities and monitoring quality and completion.
- Contributes to the achievement of function or business unit objectives through strong execution, sound judgment, and high-quality deliverables.
